1. OVERVIEW This website is operated by Canadian Metal Products & Design Inc. Throughout the site, the terms “we”, “us” and “our” refer to Canadian Metal Products & Design Inc. Canadian Metal Products & Design Inc. offers this website, including all information, tools and Services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

 

2. ONLINE STORE TERMS By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence. You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction.

 

3. GENERAL CONDITIONS

  • 3.1 Right of Service: We reserve the right to refuse Service or the sale of products to anyone for any reason at any time. We reserve the right to engage subcontractors for any part of the service or fabrication process to ensure project completion.

  • 3.2 Data Transmission: You understand that your content (including project specifications, design files, CAD drawings, and measurements) may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

  • 3.3 Proprietary Rights: You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, or any proprietary product designs or intellectual property owned by us, without express written permission. All shop drawings, CAD files, and engineering designs remain the exclusive property of Canadian Metal Products & Design Inc. and are considered "Instruments of Service."

  • 3.4 Payment Processing & Fees: Credit card information is never stored by us; all data is processed securely through our payment providers. Payments made via credit card are subject to a 3.5% processing fee. For service-based invoices, payment is due within 15 days of issue; late payments are subject to interest at a rate of 1% per month (12% per annum) on the total outstanding balance.

4. ACCURACY AND TIMELINESS OF INFORMATION We are not responsible if information made available on this site is not accurate, complete or current. Any reliance on the material on this site is at your own risk.

5. MODIFICATIONS TO THE SERVICE AND PRICES Prices for our products are subject to change without notice. We shall not be liable to you or to any third-party for any modification, price change, or discontinuance of the Service.

6. PRODUCTS OR SERVICES

  • 6.1 Return & Deposit Policy: Due to the custom nature of our work, Canadian Metal Products & Design Inc. maintains a strict No-Return and No-Exchange policy on all products. All project deposits are strictly non-refundable as they constitute a formal "Notice to Proceed" used to secure raw materials and initiate production, engineering, and design phases. Once fabrication or design has commenced, the customer is responsible for the full value of the contracted work.

  • 6.2 Project Scope: Initial quotes are estimates based on conceptual scope. Detailed design work begins after the deposit is received. We reserve the right to adjust final pricing if the detailed design phase reveals a change in scope, material requirements, or labor complexity not captured in the initial estimate.

  • 6.3 Final Approval & Acceptance: For custom projects, final drawing sign-off is required. Your digital approval or electronic signature of any estimate, quote, or drawing sign-off constitutes a binding legal agreement to these Terms of Service. Once approved, drawings become the final authority for fabrication.

  • 6.4 Inspection Window: The customer is responsible for inspection upon pickup or delivery. Any defects, damages, or discrepancies from approved drawings must be reported in writing to Canadian Metal Products & Design Inc. within 48 hours of receipt. Failure to report within this timeframe constitutes final acceptance of the goods as-is.

  • 6.5 Ownership of Drawings: Legal ownership and copyright of all custom designs remain with Canadian Metal Products & Design Inc. unless a transfer of intellectual property is explicitly stated in a separate written agreement. Use of our designs for third-party fabrication is strictly prohibited.

  • 6.6 Material Variations: Due to the nature of metal fabrication, natural variations in finish, texture, and color may occur. We do not warrant that products will meet subjective expectations provided they meet the technical specifications agreed upon at the time of purchase.

7. RETENTION OF TITLE (OWNERSHIP) & STORAGE

  • 7.1 Security Interest: Canadian Metal Products & Design Inc. maintains a security interest in, and retains full legal title and ownership of, all products and services until the purchase price has been paid in full. We reserve the right to reclaim any goods that have not been paid for in full according to the agreed-upon terms. All prices and fees are subject to applicable taxes.

  • 7.2 Storage Fees: Goods not picked up or shipped within 10 business days of completion notice may be subject to storage fees.

8. THIRD-PARTY LINKS Certain materials from third-parties (such as FreshBooks or Shopify) are used to provide our Service. We are not liable for any harm or damages related to the purchase or use of goods or services made in connection with any third-party websites. Use of our site is also governed by our Privacy Policy.

9. ERRORS, INACCURACIES AND OMISSIONS We reserve the right to correct any errors or omissions and to change information or cancel orders if any information is inaccurate at any time without prior notice.

10. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY In no case shall Canadian Metal Products & Design Inc., our directors, officers, or employees be liable for any injury, loss, claim, or any direct, indirect, incidental, or consequential damages of any kind arising from your use of the Service or any products procured therein.

11. INDEMNIFICATION You agree to indemnify and hold Canadian Metal Products & Design Inc. harmless from any claim or demand made by any third-party due to or arising out of your breach of these Terms of Service.

12. GOVERNING LAW These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada. You agree to submit to the exclusive jurisdiction of the courts located in Ontario.

13. SHIPPING & FREIGHT VOLATILITY Shipping is governed by our Shipping Policy. Shipping estimates are based on current carrier rates. If carrier costs increase between the date of the quote and dispatch, we reserve the right to pass this increase to the customer at cost (no markup). All shipments are FOB Canadian Metal Products & Design Inc. unless otherwise agreed in writing.

14. FORCE MAJEURE (UNFORESEEN EVENTS) Canadian Metal Products & Design Inc. shall not be held liable or responsible for any delay or failure in performance of its obligations caused by events beyond its reasonable control, including but not limited to: material shortages, supply chain disruptions, labor disputes, power failures, natural disasters, war, or delays caused by third-party freight carriers.
